Group Tax Strategy

Our UK companies manage tax risks to ensure full compliance with all statutory obligations, payments and disclosure to the relevant tax authorities

Introduction and Scope

City Facilities Management Holdings Ltd and its subsidiaries (The City Group) is a global Facilities Management provider with operations across Europe, Asia, Australasia, and North America. We embrace a distinctively different approach to facilities management, one founded on the values of collaboration and transparency and the principles of partnership.

Through our business activities we incur a substantial amount and variety of business taxes including income tax, corporation tax, stamp duties, employment tax, insurance premium tax, VAT and all other business taxes in the jurisdictions applicable.

We operate policies and governance to ensure compliance with tax laws in the territories in which we do business and are committed to open and transparent relationships with all relevant tax authorities.

The United Kingdom Finance Act 2016 requires companies to annually publish a statement regarding their tax strategy. This strategy applies to the United Kingdom companies of The City Group listed below. In this strategy, references to the ‘City Group’ or ‘the Group’ are to all these entities. This strategy was published on 13th December 2024 and the Group regards this publication as complying with its duty under paragraph 16(2) Schedule 19 FA 2016 in its financial year ended 31 December 2023

Approach to Risk Management and Governance

Our United Kingdom companies manage tax risks to ensure full compliance with all statutory obligations, payments and disclosure to the relevant tax authorities.

We maintain robust tax policies and compliance processes to ensure the integrity of our tax returns and the timely and accurate payment of all business taxes as required by law.

Our colleagues are appropriately trained and experienced in the relevant UK tax laws and we may also seek advice from third party advisors in cases of uncertainty or complexity in relation to tax.

Our Senior Accounting Officer has ultimate responsibility on UK tax matters and reports into both the City Group board and the City UK risk committee. We also operate levels of review to ensure that we employ professional care and judgment to evaluate and manage potential tax risk.

Attitude to Tax Planning

The UK companies within the City Group manage tax risk in order to be compliant with all legal and regulatory requirements which in turn ensures payment of the right amount of tax.

In relation to our commercial activities we will seek to take advantage of available tax incentives, reliefs and exceptions in line with, and in the spirit of, tax legislation. The City Group do not undertake tax planning that is unrelated to our commercial activities.

Level of Risk

The level of risk that The City Group accepts is consistent with our overall objective of achieving tax certainty and complying with our regulatory obligations in a manner which maintains our reputation as being a good corporate citizen.

In relation to any specific issue or transaction, the City Group Board is ultimately responsible for identifying the risks, including tax risks, which need to be addressed and for determining what actions should be taken to manage those risks.

We do not engage in activities that compromise our companies’ core values of collaboration and accountability.

Relationship with HMRC

The City Group has a professional and positive relationship with HMRC that is based on transparency, integrity and co-operation. We operate with a specific Customer Compliance Manager (CCM) within HMRC and we maintain regular communication in respect of developments in the City Group’s business activities and their tax treatment and ensure any tax issues that arise are discussed with HMRC at an early stage.

Any inadvertent errors in submissions made to HMRC are fully disclosed through our CCM as soon as reasonably practicable after they have been identified.
